AFFILIATE AGREEMENT

THIS IS LEGALLY BINDING CONTRACT BETWEEN YOU AND REAKIRO (www.cbdreakiro.com)
BY SUBMITTING AN APPLICATION TO JOIN YOU ARE CONFIRMING THAT YOU HAVE READ THIS AGREEMENT AND THAT YOU AGREE TO BE RESPOMSIBLE FOR EACH AND EVERY TERM AND CONDITION.
This Affiliate Agreement (“Agreement”) contains the complete terms and conditions between us, REAKIRO POLAND Sp. z o.o., a company organised under the laws of Republic of Poland with the company number KRS 0000714297, having its registered address ul. Pl. Jana Kilińskiego 2, 35-005 Rzeszów, Poland (“Reakiro”), and you, regarding your application to and participation in, Reakiro Affiliate Program (the “Affiliate Program”) as an affiliate of Reakiro (an “Affiliate”), and the establishment of links from your website to our website www.cbdreakiro.com (the “Site”).
1. DEFINITIONS
“Affiliate” or “you” – the business, individual, or entity applying to or participating in the Affiliate Program, or that displays Reakiro’s products and/or promotions on its website, social media or other means, using an affiliate unique link in exchange for receiving a commission from Reakiro for sales directly resulting from such display.
“Affiliate Site” – The Affiliate’s website, social media or other means, which displays Reakiro’s Products and/or promotions.
“Reakiro’s Products” – products that are available for purchase from Reakiro`s website www.cbdreakiro.com.
2. ENROLLMENT IN THE AFFILIATE PROGRAM
2.1. To begin the enrollment process, you will need to complete and submit the online application of our Affiliate Program https://reakiro.postaffiliatepro.com/affiliates/signup.php.
Reakiro use https://www.postaffiliatepro.com/ as a platform of Reakiro Affiliate Program.
After submitting the form you will receive e-mail notification. We will evaluate your application in good faith and will notify you of your acceptance or rejection in a timely manner. We may reject your application if we determine (in our sole discretion) that Affiliate Site is not suitable for the Affiliate Program, including if it:
promotes sexually explicit materials, violence, illegal activities, discrimination based on race, sex, religion, nationality, disability, sexual orientation, or age, unlawful, harmful, threatening, defamatory, obscene, harassing, or racially, ethnically or otherwise objectionable to us in our sole discretion.
Also we may terminate your application if your web site incorporates any materials which infringe or assist others to infringe on any copyright, trademark or other intellectual property rights or to violate the law and contains software downloads that potentially enable diversions of commission from other affiliates in our program.
If we reject your application, for any reason, you may not re-apply to the Affiliate Program utilizing the same domain name/URL or reapply using a different domain/URL name and then add the previously rejected domain name/URL to your affiliate account. Reakiro, in its sole discretion, reserves the right to notify or to not notify any prospective affiliate of their rejection or removal from the Affiliate Program at any time.
2.2. Once your application has been confirmed by Reakiro you will have access to your account on https://www.reakiro.postaffiliatepro.com/
Your account will allow access to personal unique Affiliate Program links and promotional materials. Only promotional materials that are approved by Reakiro shall be used by the Affiliate Site. Approved promotional materials may contain Reakiro trademarks, logos and slogans for you to display on your Affiliate Site. By entering in this Agreement we grant you a non-exclusive, limited and non-transferable license to access, download and place the approved promotional material on your website with the sole purpose to promote Reakiro’s products.
If by the decision of any party the Affiliate Agreement is terminated, upon termination your non-exclusive, limited and non-transferable license to access, download and place the approved promotional materials of Reakiro will be immediately and automatically withdrawn.
3. AFFILIATE TRACKING COOKIES
3.1. We track affiliate sales automatically by using cookies. The cookies are automatically placed in the browser of user who clicks on the affiliate link in order to reach our website. Every cookie is stored for 90 days. If a previous affiliate’s cookie is already placed in the same user’s browser it will be overwritten with the new cookie. If cookies are deleted intentionally by the user Reakiro does not hold responsibility for this action and for any commissions that may be owed to you.
4. AFFILIATE COMMISSION AND PAYMENT
4.1. Reakiro will pay you a commission 16% percent of all net sales invoiced generated from the traffic of Affiliate Site.
This traffic will be given a tracking cookie provided the person has not previously visited our site and has an existing tracking cookie from another affiliate.
4.2. Reakiro handles all of the tracking and payment. Payment will be made out as requested in your application (wire bank transfer). Payments to affiliates will not be made until your account balance reaches at least €400 EUR or that equal to with the current rate of exchange in USD and will be made on a monthly basis and will only be made as long as your account balance is over the €400 EUR limit.
4.3. If the referred product was refunded or money was reimbursed, Reakiro reserves the right to deduct the appropriate commissions from the Affiliate’s account.
5. TERMINATION
5.1. At any time you can terminate this Agreement by deleting your Account. Reakio can cancel and terminate this Agreement, regardless if circumstances, by giving notice, both written notice and email letter are acceptable forms of such notice. Reakiro may also terminate Agreement should any of the terms herein become violated.
5.2. After an affiliate account is terminated, the sales associated with the affiliate will no longer be tracked by us and you will no longer qualify for any future commissions. If any commissions are due at the time of termination, they will be paid to the Affiliate after any applicable holding period with the regular payout cycle. No outstanding commission payments will be due if your account is terminated due to the violation of this Agreement.
5.3. Once the Affiliate account is terminated, the Affiliate is obliged to remove any and all promotional materials, links, logos, trademarks, and slogans of Reakiro from his website within the period of 3 business days. This provision survives the termination of the Affiliate Agreement. Upon the termination of this Affiliate Agreement, the Affiliate no longer has the right to use any of Reakiro trademark(s), logo(s), and slogan(s) and will refrain from any actions that may affect the reputation, the image and any business relations with current and potential clients of Reakiro directly or indirectly.
5.4. Once the Affiliate account is terminated, this Affiliate Agreement is terminated automatically.
6. AMENDMENTS
6.1. We remain the right to change any policies or terms of this Affiliate Agreement. The amendments and/or supplements of the Agreement are effective immediately upon being posted to Reakiro’s website. The current Terms and Conditions of the Affiliate Agreement are always available publically on Reakiro’s website. If by any means you do not agree with the amendments and/or supplements of the Affiliate agreement, you can terminate the agreement by the termination process.
7. AFFILIATE ADVERTISING
7.1. You are free to promote your own web sites, but naturally any promotion that mentions Reakiro could be perceived by the public or the press as a joint effort. You should know that certain forms of advertising are always prohibited by Reakiro. For example, advertising commonly referred to as “spamming” is unacceptable to us and could cause damage to our name. Other generally prohibited forms of advertising include the use of unsolicited commercial email (UCE), postings to non-commercial newsgroups and cross-posting to multiple newsgroups at once. In addition, you may not advertise in any way that effectively conceals or misrepresents your identity, your domain name, or your return email address. You may use mailings to customers to promote Reakiro so long as the recipient is already a customer or subscriber of your services or web site, and recipients have the option to remove themselves from future mailings. Also, you may post to newsgroups to promote Reakiro so long as the news group specifically welcomes commercial messages. At all times, you must clearly represent yourself and your web sites as independent from Reakiro. If it comes to our attention that you are spamming, we will consider that cause for immediate termination of this Agreement and your participation in the Reakiro Affiliate Program. Any pending balances owed to you will not be paid if your account is terminated due to such unacceptable advertising or solicitation.
8. DATA PROTECTION
8.1. By entering into this Agreement you acknowledge that as part of the affiliate program, either party may access personal data relating to the proposals in this agreement, or as permitted by GDPR regulations regarding data protection enacted on May 25, 2018, if the Affiliate is doing business within the EU.
8.2. All Affiliates shall maintain and post in a conspicuous manner on any website involved in the Reakiro Affiliate Program a privacy policy that clearly and adequately describes how consumer information is collected and used. The privacy policy must fully and accurately disclose your use of third-party technology, use of cookies, and options for discontinuing use of such cookies. The privacy policy and data protection mechanisms used must comply with all data privacy and protection regulations which apply within the countries the Affiliate conducts business (examples include but are not limited to EU Privacy Shield, GDPR, etc.). Reakiro reserves the right to review your privacy policy as necessary. Failure to have a privacy policy may result in termination from the Reakiro Affiliate Program.
9. Limitations of Liability
9.1. This Reakiro Affiliate Program is provided on an “as is” basis. The use of such a program is entirely at your own risk. We make no representations or warranties, either expressed or implied, with regards to the affiliate program or any service provided.
9.2. We will not be liable to you with respect to any subject matter of this agreement under any contract, negligence, tort, strict liability or other legal or equitable theory for any indirect, incidental, consequential, special or exemplary damages (including, without limitation, loss of revenue or goodwill or anticipated profits or lost business), even if we have been advised of the possibility of such damages. Further, notwithstanding anything to the contrary contained in this agreement, in no event shall Reakiro’s cumulative liability to you arising out of or related to this agreement, whether based in contract, negligence, strict liability, tort or other legal or equitable theory, exceed the total commission fees paid to you under this agreement.
10. Indemnification
10.1. You hereby agree to indemnify and hold harmless www.cbdreakiro.com and its subsidiaries and affiliates, and their directors, officers, employees, agents, shareholders, partners, members, and other owners, against any and all claims, actions, demands, liabilities, losses, damages, judgments, settlements, costs, and expenses arise out of or are based on (i) any claim that our use of the affiliate trademarks infringes on any trademark, trade name, service mark, copyright, license, intellectual property, or other proprietary right of any third party, (ii) any misrepresentation of a representation or warranty or breach of a covenant and agreement made by you herein, or (iii) any claim related to your site, including, without limitation, content therein not attributable to us.
11. Confidentiality
11.1. All confidential information, including, but not limited to, any business, technical, financial, and customer information, disclosed by one party to the other during negotiation or the effective term of this Agreement which is marked “Confidential,” will remain the sole property of the disclosing party, and each party will keep in confidence and not use or disclose such proprietary information of the other party without express written permission of the disclosing party.
12. Miscellaneous
12.1. You agree that you are an independent contractor, and nothing in this Agreement will create any partnership, joint venture, agency, franchise, sales representative, or employment relationship between you and Reakiro. You will have no authority to make or accept any offers or representations on our behalf. You will not make any statement, whether on your site or any other of your site or otherwise, that reasonably would contradict anything in this Agreement.
12.2. Neither party may assign its rights or obligations under this Agreement to any party, except to a party who obtains all or substantially all of the business or assets of a third party.
